GENERAL CONDITIONS OF SALE

1. Scope of application 1.1 The General Terms of Sale defined below shall apply to all transactions of commercial nature in which ALP FLIGHT CASES - Comércio e Indústria de Audiovisual, Lda. participates as supplier of goods and services. 1.2 These Conditions shall come into force on the 1st of January 2026, revoking and replacing any general conditions of the client previously in force, except for orders that have been awarded or are under production at that date. 1.3 During the course of the business relationship with ALP Industrie Flight Cases Lda, the customer agrees to accept without reservation these General Terms and Conditions of Sale, which will prevail over all provisions contained in orders or correspondence from the customer, except in cases where there is a written instrument containing the express agreement of ALP Industrie Flight Cases Lda. 1.4. ALP Industrie Flight Cases Lda, reserves the right to, without prior notice, modify the General Sales Conditions, but without prejudice to the due safeguarding of contracts already concluded and in execution.
2. Prices 2.1. The prices shown in ALP Industrie Flight Cases Lda's tables, estimates and proposals are presented in euros (EUR) and do not include taxes and charges that may apply to them on the date of invoicing. 2.2 ALP Industrie Flight Cases Lda reserves the right to alter the list prices without prior notice and the new prices will apply to orders placed from the date of the alteration. 2.3 While an order is pending, and if unforeseeable and uncontrollable circumstances occur, namely exchange rate variations, raw material costs, transport or insurance, the selling prices may be adjusted by ALP Industrie Flight Cases Lda. At the end of that period, and in the absence of a reply, the new price shall be considered to have been accepted.
3. Product specifications 3.1. Information regarding prices, models, dimensions, characteristics and other product specifications that are supplied to potential interested parties do not bind ALP Industrie Flight Cases Lda until the presentation and/or acceptance of a contractual proposal. 3.2 ALP Industrie Flight Cases Lda - Comércio e Indústria de Audiovisual, Lda reserves the right to change product specifications and materials in catalogues and other sales literature without prior notice. 3.3 Product specifications, including price, appearing in catalogues and other sales literature are valid for the period set out in those instruments unless otherwise stated in clause 2.2 or in the event of printing or typographical errors.
4. Tenders Tenders submitted by ALP Industrie Flight Cases Lda. are valid for 30 days from the date of issue unless otherwise stated in writing.
5. Orders 5.1. The ordering of products and contracting of services must be carried out, on the part of the customer, by the responsible person empowered to do so. 5.2 All orders are subject to written acceptance by ALP Industrie Flight Cases Lda 5.3 The cancellation of an order, the change of quantities or qualities of the products ordered by the customer during the execution period is subject to written acceptance by ALP Industrie Flight Cases Lda. and may require the payment of the materials and services that have been spent until then. 5.4 The modification, by the initiative of ALP Industrie Flight Cases Lda, of quantities or qualities of the ordered products depends on the client's express acceptance and may lead to the readjustment of the agreed contractual services. 5.5 The cancellation of an order is always possible within three days of its submission, except in the case of special manufacturing products whose production has already begun or when the order has already been shipped. 5.6. ALP Industrie Flight Cases Lda. reserves the right to suspend contractual services whenever the client does not comply with the agreed payment conditions. 5.7 In case of disproportion between the order value and the customer's usual purchase volume, or in special manufacturing orders, ALP Industrie Flight Cases Lda. may require payment in advance or the provision of performance guarantees. 5.8 If before the start of production of an order, facts or circumstances occur or become known which give rise to a well-founded fear that the customer is unable to fulfil its obligation to pay the price, ALP Industrie Flight Cases Ltd. may suspend the contractual services and require advance payment or guarantees of fulfilment.
6. Transport and delivery 6.1 The delivery terms referred to verbally or in writing are merely indicative and do not bind ALP Industrie Flight Cases Lda, unless expressly stated otherwise. 6.2 ALP Industrie Flight Cases Lda is not responsible for damages resulting from delivery delays, unless otherwise expressly stated in the contract. 6.3 The indicated delivery dates will always be considered extended when force majeure reasons not attributable to ALP Industrie Flight Cases Lda occur, namely difficulties in the purchase, transport or import of goods, strikes, governmental constraints, among others. 6.4 In the situations described in the previous clause, as well as in all others not expressly contemplated here but in which the delay in delivery is not attributable to ALP Industrie Flight Cases Lda, the customer does not have the right to cancel the order or demand any compensation whatsoever. 6.5 As the customer is a final consumer, as defined by consumer legislation, and when goods transport is contracted by ALP Industrie Flight Cases Lda, the risk of loss or damage of the goods is transferred to the consumer when he or a third party indicated by him acquires physical possession of the goods. 6.6 In any other situation, the risk of loss or damage of the goods is transferred to the customer when the goods are delivered to the carrier or shipper, even if hired by ALP Industrie Flight Cases Lda. 6.7 The packing of the goods is done according to ALP Industrie Flight Cases Lda's uses or catalogue, and whenever the customer requests a special packing, the corresponding costs will be paid by the customer. 6.8. ALP Industrie Flight Cases Lda. does not accept the return of packaging because it is non-returnable.
7. Terms of payment 7.1. Payments will be made in cash, by bank transfer or by certified bank cheque. 7.2 For customers without a current account, and unless otherwise agreed, all payments will be made at ALP Industrie Flight Cases Lda.'s premises upon delivery of the goods. 7.3 ALP Industrie Flight Cases Lda. customers with long term business relationships may be given the opportunity to make purchases on credit by opening a current account. In such cases, payments will be made within the periods expressly agreed upon between the parties. 7.4 The lack of payment in the stipulated periods constitutes the client in delay, implying the immediate rescission of the contract without the need for the client's interpellation by ALP Industrie Flight Cases Lda and with the legal consequences resulting from such failure. 7.5 The lack of payment of an instalment, when it has been agreed to be paid in this way, implies the immediate maturity of the remaining instalments, except when it is only one instalment that does not exceed the eighth part of the price. 7.6 Customer discounts are defined according to the Table of Discounts per Type of Customer and Product or by express agreement of the Commercial Director. 7.7 Quantity based discounts are defined in the respective Table.
8. Property ALP Industrie Flight Cases Lda. reserves the ownership of all goods supplied until full payment of the invoiced amounts.
9. Warranty 9.1 ALP Industrie Flight Cases Lda guarantees the consumer that the goods will be restored to conformity with the contract free of charge when the lack of conformity becomes apparent within a period of two years from the date of delivery of the goods. 9.2 In the case of professionals, the warranty period is shortened to six months counted from the delivery date of the goods. 9.3 Once a situation of non-compliance is detected, it must be immediately reported to ALP Industrie Flight Cases Lda which may require the product to be delivered for assessment and certification of the non-compliance by its technicians. 9.4 The communication referred to in the previous paragraph shall be made in writing and must be accompanied by a brief description of the defect and the respective invoice or equivalent document proving the purchase by the customer. 9.5 If the nonconformity is verified and it is not due to misuse or any other cause attributable to the customer after the delivery, ALP Industrie Flight Cases Lda will repair or replace the product. 9.6 ALP Industrie Flight Cases Lda will pay for the end user's transport costs resulting from the conformity replacement of goods under legal warranty. 9.7 Final consumers, within the meaning of DL no. 67/2003 of 08 April, are understood to be those persons to whom goods are supplied, services provided or any rights transmitted, intended for non-professional use, by a person exercising, on a professional basis, an economic activity aimed at obtaining benefits, under the terms of no. 1 of article 2 of Law no. 24/96 of 31 July.
10. Return and right of withdrawal 10.1 Except for errors in the execution of the order or for lack of conformity of the goods, the return of goods is only accepted with the prior written agreement of ALP Industrie Flight Cases Lda, and after checking the state of the returned material. 10.2 The customer has eight working days, counting from the delivery date of the goods, to formalise the return request in writing, stating the reason for the return and attaching the respective invoice or other document that proves the purchase of the goods. 10.3 In the event of a return, the customer will be responsible for the transport, reception and inspection costs of the goods. 10.4 If ALP Industrie Flight Cases Lda accepts the return, it will issue the corresponding credit note or exchange the product. 10.5 In the case of a distance or off-premises contract, according to the respective legislation, the customer has a period of 14 days, counting from the day of receipt of the goods by the customer or a third party indicated by the customer, to cancel the contract without notice, except for goods produced according to consumer specifications. 10.6 The right of free withdrawal is exercised by sending to ALP Industrie Flight Cases Ltd, an unequivocal statement of withdrawal from the contract. 10.7 In the event of free withdrawal, the customer will be responsible for the shipping costs related to the return of the goods.
11. Place of jurisdiction and applicable law 11.1 Any transaction of commercial nature between ALP Industrie Flight Cases Lda, and the customer is subject to Portuguese law. 11.2 For any dispute arising from the application of these General Sales Conditions, the courts of the district of Aveiro will have jurisdiction with the express renunciation of any other.
